What a Connecticut LLC really costs
Connecticut is one of the simpler states for LLC fees. There’s one filing to form the LLC, one yearly report, and no separate state LLC tax. Here’s what you pay the state, and what’s up to you.
Fees you pay the state
- Certificate of Organization: $120, filed online at business.ct.gov. An LLC formed in another state files a Foreign Registration Statement instead, also $120.
- Annual report: $80 a year, filed online between January 1 and March 31. Your first one is due in the calendar year after you form, so year one has no annual report.
- EIN: free from the IRS. Any site that charges for an EIN is a middleman.
- Optional: name reservation $60; sales and use tax permit $100 if you sell taxable goods or services.
Fees for changes later
If something changes, there are smaller filings: changing your registered agent or business address ($50 each), an interim notice of a change of manager or member ($20), or a certificate of amendment ($120). Dissolving a Connecticut LLC has no state fee.
Is there a yearly Connecticut LLC tax?
No. Connecticut’s $250 business entity tax ended for tax periods beginning after December 31, 2018. Your LLC’s profit is taxed on your personal return by default, including federal self-employment tax. Our CT self-employment tax calculator estimates that bill.
The costs you control
- Registered agent. You can be your own agent if you have a Connecticut address, or pay a service so your home address isn’t on the public record.
- Insurance, software and a website. These usually cost more over time than the state fees. Add your own quotes.
- Setup help. Filing the LLC is easy. Setting up the bank account, books, payments and tax treatment correctly is where many owners want help.
